THIS AGREEMENT FOR SpeedyISP.net WEB HOSTING SERVICES (the "Agreement") is made and effective as of the date of acceptance, by and between you, ("Customer") and ("SpeedyISP.net").
WHEREAS, Customer desires to utilize the SpeedyISP.net Web Hosting services to develop Customer's presence on the World Wide Web.
NOW, THEREFORE, in consideration of the mutual promises set forth herein, the parties hereto agree as follows:
1. SpeedyISP.net Services
SpeedyISP.net agrees to provide to Customer the SpeedyISP.net Web Hosting services as set forth in Exhibit A ("SpeedyISP.net Web Hosting Services").
2. Payments and Invoicing
2.1. Credit Cards Customer shall pay monthly in advance for our service, (unless the customer signs up for a 6 (six) or 12 (twelve) month prepay billing cycle in which case the 6 or 12 months would be paid in advance) according to our current published rates and as such may be amended during the term of this agreement. You agree that failure to pay such charges is grounds for termination of all your services. SpeedyISP.net shall indicate any changes in fees, which shall become effective upon thirty (30) days' notice.
2.2. Delinquent Accounts; SpeedyISP.net may terminate a Customer's account at anytime without notice for failure to pay or failure to provide new billing information. When a customer's account is cancelled all data is removed.
3. Cancellation
Customer reserves the right to cancel account at any time without penalties. Customer will not receive any refunds, excludes any over charges. In compliance with our 30 day money back guarantee; If the customer has had the account for 30 days or less, the customer may request a refund for the first month hosting fee, excludes setup fee which is non refundable.
Customer agrees that no refunds will be given in the event that Customer's account is terminated by SpeedyISP.net or Customer for any reason. Furthermore, Customer agrees that no refunds will be granted for cancellations by SpeedyISP.net due to Customer spamming, or other violations of this agreement by Customer.
Customer aggress to provide a 30 day notice and all cancellations must be received in writing. Cancellations may be sent via, E-Mail, Postal Mail, or Fax. The account username and password must be included for verification.
4. Responsibilities of SpeedyISP.net
4.1. SpeedyISP.net shall provide Customer with Web Hosting Service as set forth in Exhibit A. SpeedyISP.net shall perform its services to the best of SpeedyISP.net's ability.
4.2. SpeedyISP.net reserves the right to refuse service to anyone at any time. However, if SpeedyISP.net should initiate termination of services with you, SpeedyISP.net will provide reasonable notice to you in order to allow you to download your files. Should SpeedyISP.net initiate termination for any violations of this service agreement customers losses all rights to download any stored files on the SpeedyISP.net servers.
5. Responsibilities of the Customer
Customer shall be solely responsible for all content available on or through its site hosted by SpeedyISP.net, and shall at all times be subject to the terms of this Agreement.
5.1. Customer agrees not to use the SpeedyISP.net Web Hosting service in any manner that is illegal or libelous.
5.2. Customer warrants that its site hosted with SpeedyISP.net Web Hosting Services will not infringe or contain any content that infringes on or violates any copyright, U.S. Patent any third-party right, or violates any applicable law, rule or regulation. SpeedyISP.net shall have no obligations with respect to the content available on or through any site hosted on the SpeedyISP.net Web Hosting Services, including, but not limited to, any duty to review or monitor any such content. SpeedyISP.net reserves the right to block any site that violates any of the above-stated terms, or which in SpeedyISP.net's sole discretion, SpeedyISP.net deems objectionable or offensive, or otherwise violates a law or SpeedyISP.net's policy.
5.3. Third-party software available though SpeedyISP.net may be governed by separate end user licenses. You agree to be bound by the terms of such end user licenses regarding the applicable third-party software.
5.4. Customer agrees to abstain from conduct such as send mass, unsolicited emails (SPAMMING) sending chain letters, using more then a reasonable amount of bandwidth, violating the security of either SpeedyISP.net or other organization systems and computers.
6. Site Content Restrictions
6.1. Customer is expected to use the Internet with respect, courtesy, and responsibility, giving due regard to the rights of other Internet users. Customer is expected to use his/her account for the purposes of maintaining a website only. Common sense is the best guide as to what is considered acceptable use.
6.2. Customer's whose website promotes activities that violate federal, state, local laws and/or violation of U.S. export restrictions are also not welcome at SpeedyISP.net. This includes "warez" sites (freely distributing copyright programs), or sites promoting hacking and/or cracking programs. Websites of this nature are considered non-professional and are not welcome. Customer's whose accounts are found in violation of this policy may, at the discretion of SpeedyISP.net, have their account(s) terminated without notice and are subject to a maximum clean-up/disconnection fee of $50. Additionally, SpeedyISP.net may contact the Software Piracy Association ("SPA") and release any information in connection with any illegal activities relating to software piracy on the Customer's account.
7. Warranties and Indemnification
7.1. IN NO EVENT WILL SpeedyISP.net's LIABILITY TO CUSTOMER ARISING OUT OF THIS AGREEMENT EXCEED THE AGGREGATE AMOUNTS PAID TO SpeedyISP.net HEREUNDER. IN NO EVENT WILL SpeedyISP.net BE LIABLE FOR LOST PROFITS OR LOST BUSINESS OPPORTUNITIES ARISING OUT OF THE TERMINATION OF THIS AGREEMENT. IN NO EVENT WILL SpeedyISP.net BE LIABLE UNDER OR IN CONNECTION WITH THIS AGREEMENT FOR ANY INCIDENTAL, CONSEQUENTIAL, SPECIAL, RELIANCE, EXEMPLARY, PUNITIVE OR OTHER INDIRECT DAMAGES OF ANY NATURE, FOR ANY REASON, INCLUDING WITHOUT LIMITATION THE BREACH OF THIS AGREEMENT OR ANY EXPIRATION OR TERMINATION OF THIS AGREEMENT, WHETHER SUCH LIABILITY IS ASSERTED ON THE BASIS OF CONTRACT, TORT (INCLUDING NEGLIGENCE OR STRICT LIABILITY) OR OTHERWISE, EVEN IF IT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
7.2. DISCLAIMERS SpeedyISP.net MAKES NO EXPRESS OR IMPLIED WARRANTIES OR REPRESENTATIONS WITH RESPECT TO THE PROGRAM OR ANY PRODUCT OR SERVICE OF SpeedyISP.net, INCLUDING, WITHOUT LIMITATION, WARRANTIES OF FITNESS, MERCHANTABILITY, NONINFRINGEMENT, OR ANY IMPLIED WARRANTIES SpeedyISP.net MAKES NO REPRESENTATION THAT THE CUSTOMER SITE WILL BE UNINTERRUPTED OR ERROR-FREE, AND SpeedyISP.net SHALL NOT BE LIABLE FOR THE CONSEQUENCES OF ANY INTERRUPTIONS OR ERRORS. ALL SERVICES ARE PROVIDED AS IS.
7.3. YOU AGREE TO USE ALL SpeedyISP.net SERVICES AT YOUR OWN RISK. IN NO EVEN SHALL SpeedyISP.net BE LIABLE FOR ANY LOSS OF DATA, EMAIL, OR FILES, VIRUS INFECTION, DELAYS OR PERFORMANCE PROBLEMS DUE TO POWER OUTAGES, ACTS OF GOD, COMMUNICATIONS FAILURES, THEFT, OR DESTRUCTION OF PROPERTY.
8. Term and Termination
8.1. This agreement is effective when you first use SpeedyISP.net Web Hosting Service and continues until terminated by either party.
8.2. Either party may terminate this agreement for any reason with upon written notice (email included) to the other party however SpeedyISP.net may terminate the Agreement immediately if any of the terms of this contract are no met.
9. Government of this Agreement
You agree that this service is governed by the Laws of the State of Texas. You agree that the state of Texas in which SpeedyISP.net is located shall be the location for any legal action relating to our services.
SpeedyISP.net can change this agreement at any time. By continuing to use our service you agree to the terms of this agreement. You may not amend or change this agreement unless SpeedyISP.net agrees to it in writing.

Your purchase or use of template products from SpeedyISP.net ("Licensor") indicates that you have read and accept the following terms and conditions: SpeedyISP.net ("We", "Us", "Our") grants you a nonexclusive limited license to use the products available on our website in accordance with these terms of use (the "license").
License
By purchasing a SpeedyISP.net template, the following rights are hereby granted to you:
- To use and edit the templates for use with your own website or multimedia presentation.
- A non-transferable license to use the template purchased.
What is required to purchase a SpeedyISP.net Template?
- Our templates are coded in ASP (Active Server Pages). This means the Web Hosting Provider must support ASP. Additionally, sites managed via Contribute require the Host to support FTP (File Transfer Protocol) to upload the website.
- SpeedyISP.net provides the superior reliability and functionality you expect. While hosting with SpeedyISP.net is not required to use one of our templates, it is strongly recommended.
- The customer must have either Internet Explorer 5.5 or higher OR Netscape 7.0 or higher to manage their online account.
- Currently, SpeedyISP.net Templates only offers English language support.
Restrictions
- You may not sub-license, assign, or transfer this license to anyone else without prior written consent.
- You may not claim ownership to any of our products, modified or unmodified.
- You may not resell or redistribute our products in any other way, modified, unmodified, standalone or combined with another product without prior written (email) consent from us.
- All image and supporting files used in the source code cannot be re-distributed separately in any other format.
- Distribution, reselling and publishing of the templates source code is prohibited.
Refund and Exchange Policy
- Purchasing any template or service on our site indicates understanding and agreement with our Refund and Exchange Policy. Please ensure that you have carefully read the methods of updating your template site and concur that said methods are acceptable.
- Since our products are exclusively digital (ie. website code), there is no way to physically "return" the product. We are however proud to offer a 30-day Money Back Guarantee or exchange for another product.
- You are allowed to exchange your purchase with another SpeedyISP.net template of equal value once within 30 days of the purchase date.
- If the customer is not satisfied with an exchange, a refund claim may be requested. The deadline for any refund claim is 30 calendar days after the template has been delivered to the customer with configuration instructions. Please note, the refund claim must be sent in writing to the address provided below.

Template Editing
- Only one of the approved editing options (Macromedia Contribute, online HTML editor) may be used to edit the template purchased.
- Support is limited to general questions about our templates and basic help.
- SpeedyISP.net does not offer training for Macromedia Contribute, Flash, Dreamweaver, FrontPage or HTML design.
All Templates are provided as is, without warranty of any kind, either expressed or implied.
Limited Usage Granted
You may only use each individual product on a single website, belonging to either you or your client. You have to purchase same template again in order to make another website with the same design.
Modifications
You are authorized to make any necessary content modification(s) within your site to fit your purposes.
Unauthorized Use
You may not place any of our products, modified or unmodified, on a diskette, CD, website or any other medium and offer them for redistribution or resale of any kind without prior written consent from our company.
License Transfer
You may not sub-license, assign, or transfer this license to anyone else without prior written or email consent from SpeedyISP.net.
Ownership
You may not claim intellectual or exclusive ownership to any of our products, modified or unmodified. All products are property of SpeedyISP.net.
Liability
Our products and services are provided "as is" without warranty of any kind, either expressed or implied. In no event shall our juridical person be liable for any damages including, but not limited to, direct, indirect, special, incidental or consequential damages or other losses arising out of the use of or inability to use our products or services.
Our company reserves the right to change or modify these terms with no prior notice.

SpeedyISP.net Acceptable Usage Policy
By purchasing our products and services, you agree to comply with this policy. You are expected to use the Internet with respect, courtesy, and responsibility, giving due regard to the rights of other Internet users. We expect you to have a basic knowledge of how the Internet functions, the types of uses, which are generally acceptable, and the types of uses, which are to be avoided. Common sense is the best guide as to what is considered acceptable use.
The following are unacceptable uses:
Illegality in any form, including but not limited to activities such as unauthorized distribution or copying of copyrighted software, violation of U.S. export restrictions, harassment, fraud, trafficking in obscene material, drug dealing, and other illegal activities.
Interpretation
The provisions of this Policy are intended as guidelines and are not meant to be exhaustive. Generally, conduct that violates law, regulation, or the accepted norms of the Internet community, whether or not expressly mentioned in this Policy, is prohibited. SpeedyISP.net reserves the right at all times to prohibit activities that damage its commercial reputation and goodwill.
Illegal Use
SpeedyISP.net products and services may be used only for lawful purposes. Transmission, distribution or storage of any material in violation of any applicable law or regulation is prohibited. This includes, without limitation, material protected by copyright, trademark, trade secret or other intellectual property right used without proper authorization, and material that is obscene, defamatory, constitutes an illegal threat, or violates export control laws.
We will be the sole arbiters as to what constitutes a violation of this provision, provided that all such determinations shall be made reasonably in good faith based on applicable law, regulation and the accepted norms of the Internet community.
Tortious Conduct
No one shall post unlawful or defamatory information about a person without their consent, intentionally inflicting emotional distress, or violating trademarks, copyrights, or other intellectual property rights.
Spamming
Sending unsolicited mail messages, including, without limitation, commercial advertising and informational announcements, is explicitly prohibited. A user shall not use another site's mail server to relay mail without the express permission of the site.
It is contrary to SpeedyISP.net's policy for customers to send unsolicited mass e-mailings, if such unsolicited e-mailings provoke complaints from the recipients.
Consequences of Violation
When SpeedyISP.net becomes aware of an alleged violation of its Acceptable Use Policy or Terms and Conditions, SpeedyISP.net will initiate an investigation. During the investigation SpeedyISP.net may restrict the Customer's access in order to prevent further possible unauthorized activity. Depending on the severity of the violation, SpeedyISP.net may, at its sole discretion, restrict, suspend, or terminate the Customer's account and/or pursue other civil remedies. If such violation is a criminal offense, SpeedyISP.net will notify the appropriate law enforcement department of such violation. SpeedyISP.net does not issue service credits for any outages incurred through service disablement resulting from Policy violations.

We have ensured that our online method of collecting credit card information is 100% secure and cannot be compromised. Under the Fair Credit Billing Act, the consumer is protected against fraudulent charges in accordance with it's reporting procedures.
We trust that you will feel comfortable with providing your credit card in exchange for our products or services, however, if you wish, you may also send us a personal check or U.S. Postal Money Order. Please be advised that personal checks will cause a delay (10-15 business days) in processing your template order as we are awaiting your funds to clear.
